These Terms of Use govern your access to and use of the Site, including all content, functionality, and services offered on or through the Site. By accessing or using the Site, you agree to be bound by these Terms of Use and our Privacy Policy. If you do not agree to these terms, please do not access or use the Site.

1. Acceptance of Terms

By visiting any page of the Site or completing the registration process, you acknowledge that you have read, understood, and agree to be legally bound by these Terms of Use. If you create a user account, you additionally agree to our Privacy Policy, which is incorporated herein by reference. Use of the Site constitutes acceptance of the most current version of these Terms of Use.

2. Modifications to These Terms

MedsDirectRx LLC reserves the right to update or modify these Terms of Use and our Privacy Policy at any time. Each revised version will be assigned a new revision date. We will provide advance notice of material changes through a notice on the Site or via email. Minor or non-material updates may be made without prior notice. Your continued use of the Site following any update constitutes your acceptance of the revised Terms of Use.

3. Protected Health Information and HIPAA Compliance

MedsDirectRx LLC is committed to protecting the privacy and security of Protected Health Information (“PHI”) in accordance with the Health Insurance Portability and Accountability Act of 1996 (“HIPAA”) and its implementing regulations, including the HIPAA Privacy Rule and Security Rule.

As a company operating within the 340B Drug Pricing Program, MedsDirectRx LLC may function as a Business Associate (“BA”) as defined under HIPAA. Where applicable, MedsDirectRx LLC will enter into a Business Associate Agreement (“BAA”) with Covered Entities as required by law. All PHI collected, transmitted, or processed through the Site or our services will be handled in accordance with applicable federal and state privacy laws.

You agree not to submit, upload, or transmit any PHI or other sensitive health information through any unsecured channel on the Site. Where the Site provides secure methods for submitting health information, you agree to use only those designated channels.

MedsDirectRx LLC implements administrative, physical, and technical safeguards designed to protect the confidentiality, integrity, and availability of electronic PHI (“ePHI”) as required under the HIPAA Security Rule. However, no method of transmission or storage over the internet is completely secure, and we cannot guarantee absolute security.

4. User Responsibilities

You agree to use the Site only for lawful purposes and in compliance with all applicable federal, state, and local laws and regulations, including but not limited to HIPAA and applicable state privacy laws. You are solely responsible for:

  • Providing accurate, current, and complete information during registration and any subsequent interactions with the Site;
  • Maintaining the confidentiality of your account credentials;
  • All activities conducted through your account; and
  • Promptly notifying MedsDirectRx LLC of any unauthorized access to or use of your account.

Misuse of the Site, provision of false information, or violation of any applicable law may result in immediate termination of your access.

5. Content and Intellectual Property

All content on the Site, including but not limited to text, graphics, logos, images, audio, video, and software, is the property of MedsDirectRx LLC or its licensors and is protected by applicable United States and international intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site’s content solely for your own personal, non-commercial purposes. Any other use – including reproduction, modification, distribution, transmission, or republication of any content – requires the prior written consent of MedsDirectRx LLC.

6. Electronic Transactions

Transactions conducted through the Site may involve electronic payments. By initiating a transaction, you authorize MedsDirectRx LLC or its payment processors to charge the applicable fees to your designated payment method. Funds may be withdrawn on the transaction date or the next business day if the transaction falls on a weekend or holiday. You are solely responsible for any fees, penalties, or charges assessed by your financial institution resulting from insufficient funds or declined transactions.

7. Text Messaging and Electronic Communications

By providing your mobile phone number and opting in to receive SMS communications from MedsDirectRx LLC, you consent to receive text messages related to your account, prescriptions, enrollment status, or other program-related matters. Standard message and data rates may apply. You may opt out of SMS communications at any time by replying STOP to any message you receive from us. For assistance, reply HELP or contact us directly.

Your consent to receive electronic communications is not a condition of purchasing any product or service from MedsDirectRx LLC.

8. Site Usage Monitoring and Analytics

MedsDirectRx LLC may collect and analyze information regarding your use of the Site, including pages visited, features used, and interaction patterns, in order to improve the functionality and user experience of the Site. This data is collected and used in accordance with our Privacy Policy. We may also contact you to request feedback about your experience.

MEDSDIRECTRX LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MEDSDIRECTRX LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, OR UNAUTHORIZED ACCESS TO YOUR INFORMATION. OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS OF USE SHALL NOT EXCEED FIVE DOLLARS ($5.00). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

15. Copyright Infringement – DMCA Notice

MedsDirectRx LLC respects the intellectual property rights of others. If you believe in good faith that content on the Site infringes your copyright, please submit a written notice to our designated agent at the contact information in Section 16 that includes:

  1. A description of the copyrighted work you claim has been infringed;
  2. A description of where the allegedly infringing material is located on the Site;
  3. Your contact information, including name, address, telephone number, and email address;
  4. A statement that you have a good faith belief that the use is not authorized by the copyright owner, its agent, or the law; and
  5. A statement under penalty of perjury that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner’s behalf.

16. Governing Law and Dispute Resolution

These Terms of Use are governed by and construed in accordance with the laws of the State of Indiana, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms of Use or your use of the Site shall be resolved exclusively in the state or federal courts located in Hamilton County or Marion County, Indiana. You consent to the personal jurisdiction and venue of such courts.

17. General Provisions

No Waiver. The failure of MedsDirectRx LLC to enforce any right or provision of these Terms of Use shall not constitute a waiver of such right or provision.

Severability. If any provision of these Terms of Use is found to be invalid or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

Entire Agreement. These Terms of Use, together with our Privacy Policy and any applicable Business Associate Agreement, constitute the entire agreement between you and MedsDirectRx LLC with respect to your use of the Site and supersede all prior agreements, representations, and understandings.

Assignment. MedsDirectRx LLC may assign these Terms of Use or any of its rights and obligations hereunder without notice to you. You may not assign your rights or obligations under these Terms of Use without our prior written consent.
